Confirmation of Acceptance of Participation Agreement and Token Holder Terms & Conditions

You are being issued [∙] tokens (the “Tokens”) linked to [description of the RWAs] (the “RWAs”) held in Segregated Account [∙] of BoulderTech Labs Ltd. (the “Account”), a company incorporated in Bermuda with company number 202403209 (“BoulderTech”) and registered as a segregated accounts company pursuant to the Segregated Account Companies Act 2000, as amended (the “SAC Act”), as evidenced in your portfolio on BoulderTech's web3 app.

You confirm that you have reviewed the Participation Agreement and Token Holder Terms & Conditions, which together with this confirmation is the governing instrument for the Account.

Your Tokens represent a contractual interest in the RWAs linked to your Tokens and held in the Account, and you acknowledge and agree that the liability of BoulderTech to you for the performance and discharge of BoulderTech’s obligations in respect of the Tokens shall be limited to and payable solely from such RWAs held in the Account and you shall have recourse only to such RWAs held in the Account in respect of any claim, action, demand or right against BoulderTech or the Account.

During the processing of your order, prices may change, and the final quantity of Tokens or stablecoin you receive may differ from your initial order.

The Tokens are not offered by us or by any affiliated entity of ours directly to the public and will only be offered by BoulderTech to Qualified Participants.

Your Tokens have not been and will not be registered under the U.S. Securities Act of 1933 or with any securities regulatory authority of any state or other jurisdiction of the U.S. or elsewhere in the world.

You are not a “US Person”.

You confirm that you are a Qualified Participant as detailed in the Participation Agreement and Token Holder Terms & Conditions.

Should you want to redeem your Tokens or receive any payments in respect thereof, you will need to ensure that your “KYC” screening is current and complete as at such time.
